Vay Technology GmbH (hereinafter referred to as "the Company", “we”, or “us”) is committed to protecting the privacy and security of your personal inforAmation. This Privacy Policy is designed to help you understand how we collect, use, and disclose your personal information when you use our services, including our website (Vay.io), mobile application, and any other platform or service offered by us (collectively, the "Services"). We are dedicated to complying with local, state, and federal laws and regulations regarding data protection. Please note that this Privacy Policy does not apply to personal information the Company collects from its current, former, or prospective employees.
By accessing or using the Services from which this Privacy Policy is referenced, you confirm that you have read, understand, and acknowledge the terms of this Privacy Policy. This Privacy Policy is not a contract and does not create any legal rights or obligations.

Section 1. Personal Information We Collect
Vay (and the vendors and other parties we use to perform services on our behalf) collect, receive, and develop several categories of personal information about you depending on the nature of your interactions with us. For example, we collect:
- Contact Information and Other Identifiers. This includes your name, email address, phone number(s), mailing address, account username and password, alias, account-related details, government-issued ID (including, for example, driver's license and/or passport), social media account handles, date of birth, and government ID numbers (including, for example, tax ID number, Social Security number).
- Device, Internet, and Network Activity Information. When you use our Services, we collect information about the browser, device, and operating system you are using, signal strength, device identifiers, MAC address, and your IP address. We collect information at the site you came from, or the site you visit when you leave us. We may collect and record page and app interaction information and other electronic communications and content from your use of the site and app (such as content entry, mouse movements, screen captures, the date, time, and location of your visit, what areas of the websites you visit and for how long, what search terms or other data you enter, and what products or content or links you view and click on), and methods used to browse away from the page. If you use our mobile app, we may also look at how often you use the app and where you downloaded it. We may also embed technologies (which may include, for example, web beacons, tags, and pixels) in the emails and other communications we or our vendors send to you to help us understand how you interact with those messages, such as whether and when you opened a message or clicked on any content within the message. We may also collect information from your devices if they connect to, or are detected by, the wireless networks at our properties.
- Vehicle and Vehicle Usage Information. We collect information related to the vehicle (e.g., battery level, IMU data, critical vehicle information, vehicle dynamics and torque, tire pressure, vehicle condition, electric usage) as well as your use and operation of the vehicle (e.g., speed, acceleration, braking, steering events, throttle and brake signals, turn signals, gear shift status), parking locations, distance traveled, driver profile preferences, infotainment and navigation system usage (e.g., radio, in-vehicle applications, phone pairing).
- Location Information. We collect your device's location information with your consent. This may include automatically collecting your location when you access our app or website or when you provide us your zip code. We also collect the location of our vehicles, which includes where the vehicle is driven to and from and what routes are taken when the vehicle is in your possession.
- User-Generated Content. We collect information you provide when you interact with our Services, such as reviews, comments, pictures of the vehicle, or other content you submit.
- Communication Information. We collect information from your communications with us, such as customer support requests, emails, or chat logs, as well as communications during customer support calls or exchanges with teledrivers.
- Payment Information. If you make purchases through our Services, we may directly or through the use of a third-party payment processor, collect your credit card, debit card, bank account information or other payment details related to your purchase.
- Audio/Visual Information. Your voice and/or personal image may be captured by the onboard & exterior facing audio and visual recording system on Vay vehicles. We also use facial recognition technology to ensure the driver is the person authorized to operate the vehicle.
- Facial Recognition Data. In certain instances, Vay, either directly or through a third-party provider, may collect photos of you and/or your driver’s license for security purposes and to minimize potential fraud. In these instances, Vay collects this data for limited purposes, including to ensure that the person entering the vehicle is the person authorized to operate the vehicle.
- Test Fleet Data. Our vehicles are equipped with sensors (i.e., radar, ultrasound, GPS/location sensors) and cameras on every side of the vehicle. These cameras collect a 360°-live stream of video footage which is on average buffered for a duration of under 1 second. The video recordings are primarily used by our teledrivers to participate in road traffic in any given operational terrain and can also be used to help improve our service offerings. For this purpose, pedestrians, road markings, cars, motorcycles, bicycles and other objects in the surroundings of the test vehicle as well as their position and movement in relation to our test vehicles are processed. Our vehicles are also equipped with microphones, providing our teledrivers with audio recordings (e.g. sirens) to hear what is happening in the surrounding of the vehicle. We recreate an equal audio environment of a traditional driver located inside a vehicle in order to participate safely and legally compliant in road traffic in any given operational design domain. Audio Recordings help our teledrivers to recognize the approach of an emergency vehicle and to clear the roadway for such vehicles or to respond to other road users and traffic situations. We may process the following types of personal information, depending on the individual position to and interaction with the test vehicle:
- Behavior and characteristics (e.g. faces) of other road users, e.g. vehicle drivers, cyclists, pedestrians and other persons in the proximity of the test vehicles
- Behavior and characteristics (e.g. license plates) of vehicles and other objects in the proximity of the test vehicles
- Acoustic information from the vicinity of the test vehicles Additional data from other sensor systems (e.g. GPS position, timestamps)
- Inferences. Using the other pieces of personal information collected about you, we may draw inferences about you, reflecting what we believe to be your preferences, characteristics, predispositions, and attitudes.
Some of the information we collect may be considered sensitive information in certain jurisdictions, including, for example, username and password; precise geolocation data; government issued ID number; health-related information; and biometric identifiers used for access purposes.
Section 2. How We Use Your Personal Information
We use the above-referenced categories of personal information for the following purposes:
- To provide our Services and fulfill transactions. We use your personal information in connection with the provision of our services to you, including processing transactions sending transaction notifications, to verify that drivers are meeting Vay’s eligibility requirements, administering certain vehicle functionality (e.g., functions such as remote locking and transmitting vehicle data such as location and mileage, and to start, end, or otherwise manage your trip), to assess how our vehicles are being used, to provide roadside services, fulfilling your requests, and providing you with our Services.
- For marketing purposes. We use personal information in connection with special promotions, purchase incentives, prize promotions, or other offers. We might also use this information to send push notifications on our apps and to serve you ads about our products and offers. We might tell you about new features or services. These might be our own offers or products, or third-party offers or products we think you might find interesting. You may opt-in to receive our email newsletters or to receive text messages from us. To learn about your choices for these communications, read Section 8 below.
- To test, develop, improve, and provide our Services. We use your personal information to make our websites, mobile application, and Services better and safer. We might use your personal information to customize your experience with us and to conduct research and analysis and to optimize our Services.
- To administer our websites. We use your personal information to administer the website, such as troubleshooting, data analysis, and testing.
- To provide support and respond to your requests or questions. We use information to contact you in response to your feedback or other matters related to our relationship with you (such as about this Privacy Policy or our Terms of Use).
- To detect, investigate, and prevent fraudulent or illegal activities. We may use personal information to protect our company, vehicles, customers, business partners and their respective personnel. We may also use personal information to protect our Services, as well as to detect and investigate activities that may be fraudulent, or otherwise illegal or prohibited (such as cybersecurity events or fraudulent transactions), which includes responding to requests from authorities, such as law enforcement or regulators or to otherwise defend, protect or enforce our rights or those of third parties or our customers. We may use information in connection with physical access control. We may use your personal information to comply with legal obligations and protect our rights. We use your personal information in investigating and addressing liability or damage claims. We may also use your personal information to assist in the recovery of vehicles that we reasonably believe may be lost or stolen.
Section 3. How We Collect Your Personal Information
We and our vendors collect personal information about you from various sources, directly and indirectly, including from the following sources:
- Directly from you. We collect information if you sign up for an account, enter into an agreement, participate in a promotion, contact us, or when sign up for our text and other messages. We also collect payment, commercial and preference information if you purchase our Services. We also collect any personal information you provide if you post a comment, make a request, or complete a survey. When you use our vehicles, we may collect video or image information about you using cameras and sensors.
- From your devices. We use tracking tools like browser cookies and web beacons to passively collect information about you. We collect information using these tracking tools when you interact with our websites, apps, ads, vehicles, or emails that we or our vendors send to you. Similarly, our vehicles include equipment to monitor certain vehicle data as described above. These devices are placed by us or, in some cases, by vehicle manufacturers. In certain cases, we receive information from these devices, either directly or through the vehicle manufacturer.
- From vendors we hire to work on our behalf. For example, vendors that host or maintain our website and apps or send promotional emails for us may give us information. Our marketing agencies, advertising technology vendors, and analytics providers may also provide us with information.
- From other sources. Other parties may give us personal information about you. These other parties might include business and marketing partners and social media platforms that give us information they have collected either directly or indirectly from you.
- We combine information. We may combine information that we have collected offline with information we collect online. Or we may combine information we get from another party with information we already have. We may also aggregate your information with other individuals’ information to understand preferences and trends over time.
Section 4. Legal Grounds for Processing of Your Personal Information
Vay uses, retains and otherwise processes personal information that is subject to this Privacy Policy for different purposes, dependent on the specific use-case, as described in Section 2 ("How We Use Your Personal Information"). These purposes include where you have provided consent, where such processing is necessary for the performance of a contract that we have with you, to comply with our legal obligations, or for our legitimate business interests. We process personal information only to the extent that we are legally permitted to do so.
- Consent. You have given consent to the processing of your personal information for one or more specific purposes, e.g., to identify the vehicle or driver location using the vehicle GPS, to use certain autonomy features designed for driver and pedestrian safety which must process sensitive personal data to work properly, to record (support) phone calls.
- Performance of a Contract. The processing is necessary for the performance of a contract or to take steps to enter into a contract with you, e.g., to deliver the vehicle to you or process your transaction.
- Compliance with our Legal Obligations. The processing is necessary for compliance with our legal obligations, e.g., to respond to a valid legal demand, comply with statutory obligations for record keeping, for mandatory incident or other governmental reporting.
- Legitimate Interests. The processing is necessary for the purposes of our legitimate interests or for the purposes of the legitimate interests of a third party which are not overridden by your interests or fundamental rights and freedoms which require protection of personal information. We may, for example, have a legitimate interest to improve our remote driving features, the infotainment systems, or other features of our vehicles and our software. We may also have a legitimate interest to investigate a crash, near miss, or defect allegation. We may also have a legitimate interest to help our customers locating vehicles (e.g., in case of theft or misuse of vehicles).
Section 5. Disclosure of Your Personal Information
We may share your personal information with the following entities:
- We share each category of personal information within the Vay family of companies. This includes our parent, subsidiaries, affiliates, and business units. We share personal information within the Vay family of companies for all purposes described in this Privacy Policy.
- We share your personal information with vendors and service providers who perform services on our behalf. We may share personal information with vendors who assist us with the uses of personal information described in this Privacy Policy. This may include vendors who send emails for us, help us manage and operate our websites and apps, fulfill transactions, provide advertising or marketing services or place our advertisements on other platforms, provide analytics and search engine support, track advertising impressions, investigate and prevent data incidents, provide physical and digital security services, audit our business and financial statements, and provide legal advice. While most third-party service providers who assist us only have access to your personal information for the sole purpose of performing services on our behalf and in accordance with our instructions, there may be certain instances where your personal information received by vendors and service providers may also be subject to their privacy policies.
- We will share your personal information for safety and security purposes, if we think we have to in order to comply with the law, or to protect ourselves, our vehicles, our customers and others. We may share personal information as necessary to respond to a court order or subpoena. We may also share any or all personal information if a government agency or investigatory body requests it. We might share your personal information in order to enforce our agreements and to protect our rights and/or the rights of others. We might share your personal information when we are investigating a potential incident or fraud. This might include theft or vandalism of personal property or fraud we think has happened. If you are the winner of a sweepstakes or contest, we may also share certain Contact Information of yours with anyone who requests a winner’s list.
- We may share your personal information as part of a transaction, financing, due diligence or for other business needs. For example, if Vay sells any of its businesses or assets, applies for loans, or opens bank accounts, we may disclose your personal information to the prospective buyer, lender or bank, as the case may be, as part of certain due diligence processes. We also share information for the purpose of management and administration of Vay's business.
- We may share your personal information with a successor to all or part of our business. If part of our business (including any of our affiliates, divisions, and business units) is acquired by a third party, we may include personal information as part of that transaction, which may include some or all categories of your personal information. We may also share your personal information if there is a change to our corporate structure. We may also share your information with others as they conduct diligence of our corporate changes.
- We may share personal information for other reasons we may describe to you from time to time or as permitted or required by law.
Section 6. Data Retention
We generally retain your personal information as long as necessary to fulfill the purposes we collected it for, as required to satisfy any legal, accounting, or reporting requirements, as necessary to resolve disputes, as otherwise requested by you, or as required or permitted by applicable law. In some cases, we may only process the personal information and do not store or retain it.
Under some circumstances we may anonymize or reasonably de-identify your personal information so that it can no longer be reasonably associated with or used to identify you. We reserve the right to retain and use such information for any legitimate business purpose without further notice to you or your consent, unless required by law.
Section 7. Data Security
We have in place appropriate security measures intended to prevent your personal information from being accidentally lost or used or accessed in an unauthorized way, including encryption of this information in transit and at rest and the implementation of controls designed to limit access to your personal information to those Vay personnel who have a genuine business need to know it. Those Vay personnel who process your personal information are required to do so only in an authorized manner and are subject to confidentiality.
Despite our implementation of these measures, posting or transmission of personal information via the internet, by email, or by other electronic means is not completely secure and it is possible that third parties may unlawfully intercept or access such data. We cannot guarantee that personal information will be totally secure.
Section 8. Your Privacy Choices
You have certain choices about how we use your personal information.
- You can opt out of receiving our marketing emails and text messages. To stop receiving our promotional emails, you can follow the instructions in any promotional message you get from us. If you receive promotional text messages from us, you may opt out by replying “STOP”. Even if you opt out of getting marketing messages, we will still send you transactional messages. These include responses to your questions.
- You can access and update your account information by contacting Vay at [email protected].
- You can control certain location and other tracking tools. To control the collection of your precise location on your mobile device, you can adjust the settings on your mobile device, such as by disabling location services and turning off the Bluetooth and Wi-Fi. Your browser may also give you the ability to control cookies or other tracking tools. How you do so depends on the type of tool. Certain browsers can be set to reject browser cookies. You can find out more on how we use Cookies in our Cookie Policy under https://vay.io/vay-privacy/cookie-policy/. Please note, disabling location services completely will render most of the functions of our Services unavailable. We use Google Analytics to better understand how our users interact with our Services and we may use Google Analytics Advertising Features for advertising and marketing purposes. You can learn about Google Analytics’ currently available opt-outs at https://tools.google.com/dlpage/gaoptout/ and manage the information collected through Google Analytics Advertising Features through the settings on the relevant browser or device being used. We also use Google Tag Manager, which is a tag management system provided by Google that we deploy through our Services to allows us to add code snippets, pixels or similar, to our Services. In this context, Google will only process your IP address as a processor and Google will not combine your IP address with personal information from other sources.
- You can delete your account by contacting us.
Section 9. U.S. Privacy Rights
If you are a California resident, please note the following regarding how we collect, use, and disclose your personal information as described in this Privacy Policy, including in the previous 12 months:
We may collect, use, and disclose for our business and commercial purposes, categories of personal information as set forth in applicable California law, including: Identifiers; payment and customer records information; characteristics of protected classifications under California or federal law (such as demographic information like age, gender, and disability); commercial information; professional or employment information; internet or other electronic network activity information; geolocation data; audio, electronic, visual, thermal, or similar information; biometric information; inferences; and sensitive personal information. See Section 1 and Section 2 above for additional detail.
We collect and use these categories of personal information for the business and commercial purposes described in Section 2 of this Privacy Policy.
We collect these categories of personal information from the sources described in Section 3 of this Privacy Policy.
We may disclose each of the foregoing categories of personal information for the business and commercial purposes described in Section 2 of this Privacy Policy to the extent permitted by applicable law to the categories of parties as described in Section 5 of this Privacy Policy.
We may “sell” or “share” categories of personal information, including Identifiers; payment and customer records information; characteristics of protected classifications under California or federal law; commercial information; professional or employment information; internet or other electronic network activity; geolocation data; education information; audio, electronic, visual, thermal, or similar information; and inferences. We may “sell” or “share” these categories of Personal Information to the categories of third parties described in Section 5 of this Privacy Policy for the purposes described in Section 2 of this Privacy Policy.
We may collect, use, and disclose for our business and commercial purposes described in Section 2 of this Privacy Policy the following “sensitive personal information” (as defined in the California Consumer Privacy Act): username and password; Social Security, driver’s license, state identification card, and passport number; precise geolocation; race, ethnicity, and union membership; biometric information; and information concerning a consumer’s health.
We keep personal information as long as it is necessary or relevant for the practices described in this Privacy Policy, including, for example, for legal compliance, dispute resolution, contract enforcement, backup, archival, and other internal operations purposes. We also keep information as otherwise required by law.
From time to time, we may offer financial incentives in connection with the collection or use of personal information. The material terms of the financial incentive will generally be presented to you at the time you sign up. You may withdraw from any financial incentive at any time by following the instructions provided at the time you sign up.
If you are a California resident, you can make the following requests with respect to their personal information:
- Access – You can request that we disclose to you the categories of personal information we collected about you, the categories of sources from which we collected the personal information, the categories of personal information we sold, shared, or disclosed, our business or commercial purpose for collecting, selling or sharing the personal information, the categories of third parties to whom we disclosed the personal information, and the specific pieces of personal information we collected about you.
- Deletion – You can request that we delete your personal information that we maintain about you, subject to certain exceptions.
- Correct – You can request that we correct inaccurate personal information that we maintain about you, subject to certain exceptions.
- Limit the Use/Disclosure of Sensitive Personal Information – You can request that we limit the use or disclosure of your sensitive personal information to those purposes set forth in applicable California law, subject to certain exceptions.
- Do Not Sell or Share My Personal Information – You can request that we not sell or share your personal information. For purposes of this Section 9, “sell” means the sale of your personal information to an outside party for monetary or other valuable consideration, and “share” means the disclosure of your personal information for cross-context behavioral advertising purposes, subject to certain exceptions set forth in applicable California law. Please note that if you make a request to opt out of sale or share and you would like to opt out of cookie-based tracking for behavioral advertising purposes, click the Cookie Settings link on the Vay website to set your preferences or broadcast an opt-out preference signal recognized by Vay on browsers or browser extensions that support such a signal. Your selections are specific to the device, website, and browser you are using. Your selections are deleted whenever you clear your cookies or browser’s cache. We do not knowingly sell or share the personal information of minors under 16 years of age.
Vay will not discriminate against you because you made any of these requests.
Your Privacy Choices, by emailing us at [email protected] or by calling us at our Toll Free Number: (+1 (888) 894-7218). We may deny certain requests, or fulfill a request only in part, based on our legal rights and obligations. For example, we may retain personal information as permitted by law, such as for tax or other record keeping purposes, to maintain an active account, and to process transactions and facilitate customer requests. Except as otherwise provided by applicable California law, note that for purposes of these requests under this Section, personal information does not include information we have collected as a service provider to our clients.
We will take reasonable steps to verify your identity prior to responding to your requests. For example, we may utilize a third-party verification provider to assist with verifying your identity. The verification steps may vary depending on the sensitivity of the personal information and whether you have an account with us. If we are unable to verify your identity or cannot otherwise comply with a request or cannot fulfill a request within the standard timeframe, we will generally provide you with a reason for this.
California residents may designate an authorized agent to make a request on their behalf. When submitting the request, please ensure the authorized agent is identified as an authorized agent.
If you reside in California, you also have the right to ask us one time each year if we have disclosed personal information to third parties for their direct marketing purposes. To make a request, please send us an email, or write to us at the address listed in the Contact Us Section below. Indicate in your letter that you are a California resident making a “Shine the Light” inquiry.
If you are a Nevada resident, you can request that we not "sell" your "covered information" (as defined in applicable Nevada law). To make this request, your request must be submitted by emailing us at [email protected] with a subject line of “Nevada Privacy Rights”.
Section 10. EU and UK Privacy Rights
For the purpose of EU and UK data protection laws, Vay acts as a controller in connection with certain personal information described in this Privacy Policy. As detailed below, to the extent provided by the law of your jurisdiction, you may have legal rights in relation to the personal information about you that Vay holds. We may require you to prove your identity with approved identification if you request this information.
Rights of data subjects
You have the following rights, where provided under applicable law, regarding your information (each of which are subject to various exceptions and limitations):
- The right to be informed: You have the right to be provided with clear, transparent, and easily understandable information about how we use your information and your rights. This is why we are providing you with the information in this Privacy Policy.
- The right of access: You have the right to obtain access to your information (if we are processing it), and certain other information (similar to that provided in this Privacy Policy). This is so you are aware and can check that we are using your information in accordance with data protection law.
- The right to rectification: You are entitled to have your information corrected if it is inaccurate or incomplete.
- The right to erasure: This is also known as ‘the right to be forgotten’ and, in simple terms, enables you to request the deletion or removal of your information where there’s no compelling reason for us to keep using it. This is not a general right to erasure; there are exceptions.
- The right to restrict processing: You have rights to ‘block’ or suppress further use of your information. When processing is restricted, we can still store your information. We keep lists of people who have asked for further use of their information to be ‘blocked’ to make sure the restriction is respected in future.
- The right to data portability: You have rights to obtain and reuse your personal data for your own purposes across different services and platforms.
- The right to object: You have the right to object to certain types of processing, in particular processing based on our legitimate interests. You also can object at any time to your information being used for direct marketing purposes (including profiling related to such direct marketing). Where you object to processing for direct marketing purposes, the personal data shall no longer be processed for such purposes.
- The right to refuse or withdraw consent: You have the right to refuse to provide and withdraw your consent to processing of your personal information at any time with effect for future processing.
If you are not satisfied with our response to your complaint or believe our processing of your information does not comply with data protection law, you can make a complaint to a supervisory data protection authority. Please note your rights in relation to your personal information (which under European and UK data protection laws is referred to as "personal data") are not absolute. We may, for example, deny you access to your personal data when required or authorized by law, or if granting access would have an unreasonable impact on another individual’s privacy. We will retain and use your personal information as described in this Privacy Policy, including as necessary to comply with our legal and business obligations, resolve disputes, and enforce our agreements. Section 11. International Data Transfers
Vay is based in Germany but we have operations in other jurisdictions as well. As such your personal information may be processed in jurisdictions other than your own, including the United States. We may transfer your personal information or store it internationally, including to or in countries that do not have data protection laws equivalent to those in the country where you reside or where your personal information is collected, for the purposes described above.
By using our Services or by otherwise providing us with your personal information, you agree to the collection, transfer, storage, and other processing of your personal information to countries outside of your country of residence. Personal information transferred or stored internationally will be subject to the laws of the jurisdiction(s) where it is transferred or stored, and may be accessible to foreign courts, regulatory agencies, law enforcement, and national security authorities in those jurisdiction(s).
Section 12. Children's Data
Our Services are not intended for individuals under the age of 18. If we become aware that we have collected personal information from minors(those age 17 and under) without parental consent, we will take steps to delete the information. Users agree upon signup that they are age 18or over. Users may not make accounts for or use information of individuals under the age of 18.
Section 13. Third Party Sites
If you click on a link to a third-party site or a third-party app, you will be taken to a website or service we do not control. This Privacy Policy does not apply to the privacy practices of that website or services, which may collect information from you. Read the privacy policy of other websites, apps, and services carefully. We are not responsible for these third-party websites, apps, and services or their policies.
Section 14. Changes to this Privacy Policy
From time to time we may change this Privacy Policy. We will notify you of any material changes to our Privacy Policy to the extent required by law.
